Talor Terms of Service

0. Operator Information

Talor is operated by Talor, Inc. (or its designated affiliate) (“Talor,” “we,” “us,” or “our”). If your operating legal entity name or mailing address changes, Talor may update this section by posting a revised effective date.

1. Acceptance

By accessing or using Talor, you agree to these Terms. If you do not agree, you must not use Talor.

3. Platform Role

Talor is a social marketplace platform that enables users to publish Works and interact with other users. Talor is not a party to direct agreements between users unless explicitly stated.

5. Prohibited Conduct

You must not post unlawful, infringing, deceptive, hateful, sexually exploitative, or harmful content, and you must not misuse the service through fraud, impersonation, spam, scraping, or attacks on platform integrity.

6. Payments

Where payment features are available, transaction processing may be provided by third-party payment processors subject to their terms. Fees, taxes, and payout timing may vary by region and product configuration.

Unless explicitly stated otherwise by Talor or required by law, Talor does not calculate, collect, withhold, or remit taxes for user-to-user transactions. Tax obligations remain solely with the relevant buyer and seller.

Talor may provide an escrow-like payment flow for user transactions and may release, hold, reverse, or recover funds according to platform policies, dispute outcomes, payment provider rules, and legal requirements. Payment and escrow operations are further governed by the Payments & Escrow Terms.

For seller onboarding consent in a single consolidated document, Talor may present the Seller Consent Agreement, which incorporates applicable seller-facing policies.

7. Product Features and Balancing

Talor may add, remove, pause, test, rebalance, or otherwise change any service feature at any time, including but not limited to levels, achievements, quests, rewards, points, rankings, unlock conditions, eligibility criteria, and related numeric values or thresholds.

Feature settings are not guaranteed to remain unchanged and do not create vested rights, guaranteed outcomes, or compensation rights for users.

8. Transaction Integrity and User Conduct

Users must act in good faith and deal fairly in all transactions and communications, including honest disclosures, reasonable cooperation, and sincere performance of agreed obligations.

Where evidence indicates bad-faith conduct, abuse, manipulation, harassment, or other unfair dealing, Talor may deny or limit refunds, returns, reversals, credits, or other remedies to the extent permitted by applicable law.

9. Suspension and Termination

Talor may suspend, restrict, or terminate accounts, listings, transactions, and service access for policy violations, legal risk, abuse, security issues, or trust-and-safety concerns.

This includes behavior that may threaten public safety, facilitate unlawful activity, or cause serious discomfort or harm to other users or third parties. Enforcement may include warnings, feature limits, transaction blocks, temporary suspension, payout holds, and permanent account termination.

10. Disclaimers

Talor is provided on an “as is” and “as available” basis. To the extent permitted by law, Talor disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Talor is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or opportunities.

To the maximum extent permitted by law, Talor’s aggregate liability for claims arising out of or relating to the service will not exceed the greater of (a) the amounts you paid to Talor in the 12 months before the event giving rise to liability, or (b) USD $100.

12. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles, unless mandatory local consumer protection laws apply otherwise.

13. Dispute Resolution and Venue

Unless prohibited by applicable law, disputes arising out of or relating to these Terms or Talor will be resolved exclusively in the state or federal courts located in Dallas, Texas (including Dallas County), and you consent to personal jurisdiction in those courts.

14. Arbitration and Class Action Waiver

Where allowed by law, you and Talor agree to resolve disputes on an individual basis through binding arbitration under the Federal Arbitration Act, except for claims eligible for small claims court and requests for injunctive relief related to intellectual property or platform abuse. You and Talor waive any right to participate in class actions, class arbitrations, or representative actions.

15. Indemnification

You agree to defend, indemnify, and hold harmless Talor and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of Talor, your breach of these Terms, or your violation of law or third-party rights.

16. Legal Notices

Legal notices to Talor must be sent to support@talor.dev with the subject line “Legal Notice,” and must include sufficient detail to identify the requesting party, claim, and requested action.

17. Electronic Communications and E-Consent

By creating an account or using Talor, you consent to receive electronic communications from Talor, including legal notices, policy updates, transaction notices, and service announcements by email, in-app notice, or other electronic means permitted by law.

You agree that electronic records and notices satisfy legal communication requirements that would otherwise require paper notice or wet-ink signatures, to the extent permitted by applicable law.

18. Force Majeure

Talor is not liable for delay or failure in performance caused by events beyond reasonable control, including natural disasters, war, civil unrest, labor disruptions, infrastructure failures, internet or hosting outages, payment network interruptions, governmental actions, or cyber incidents.

19. Survival

Any provision that by its nature should survive termination will survive, including payment and tax responsibilities, dispute and chargeback obligations, indemnification, limitation of liability, dispute resolution, and enforcement rights.

20. Additional Measures and Policy Scope

Examples listed in these Terms and related policies are illustrative and not exhaustive. To maintain platform integrity, safety, and legal compliance, Talor may take any additional reasonable measure consistent with applicable law, even if not explicitly enumerated in a specific clause.

21. Assignment, Severability, and Entire Agreement

Talor may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with applicable policies referenced on Talor, form the entire agreement between you and Talor regarding use of the service.

22. Changes

Talor may update these Terms. Material changes will be posted with a revised effective date.
